INDEPENDANT AUTHORIZED AGENT AGREEMENT
THIS AGREEMENT is entered into by and between VICTORY FARM AT ROOFTOP SDN BHD (Company No.: 1354227-X) (“VF@RM”), located at 61-B Lintang Sungai Pinang, 10150, Penang, and the Authorized Agent (“AA”), whose contact details will be documented upon agreement execution.
1. APPOINTMENT
VF@RM hereby appoints the AA as its Authorized Agent for the promotion and sale of VF@RM’s products, subject to the terms and conditions outlined in this Agreement, the Code of Conduct, and all VF@RM’s policies, which may be updated from time to time.
2. TERM OF AGREEMENT
This Agreement shall commence on (Date) and may be terminated by either party at any time, with or without cause, by providing a minimum of twenty-four (24) hours’ notice.
3. DESCRIPTION OF SERVICES
- Duties and Efforts: The AA agrees to utilize best efforts to promote and sell VF@RM’s products, adhering to VF@RM’s guidelines, policies, and sales objectives.
- Conflict of Interest: The AA agrees to avoid any business engagements or activities that may conflict with VF@RM’s business interests.
- Collection and Account of Monies: The AA shall handle customer payments in accordance with VF@RM’s policies, forwarding all payments (except cash) to VF@RM within one (1) business day of receipt. The AA shall maintain accurate records of all transactions and provide these to VF@RM upon request.
4. CODE OF CONDUCT
The AA agrees to comply with VF@RM’s Code of Conduct, ensuring that all interactions, sales processes, and customer communications reflect the integrity and standards of VF@RM.
5. INDEPENDENT CONTRACTOR STATUS
- The AA shall operate as an independent contractor and not as an employee of VF@RM.
- The AA is responsible for all personal expenses, including but not limited to transportation, insurance, and taxes related to earnings from VF@RM.
6. TRAINING AND RESOURCES
VF@RM will provide necessary training materials, access to resources, and proprietary information to assist the AA in effectively promoting VF@RM’s products. All provided resources remain the property of VF@RM and must be returned upon termination of this Agreement.
7. CONFIDENTIALITY
The AA shall maintain confidentiality regarding VF@RM’s business information, client details, and any proprietary information acquired during the term of this Agreement. This obligation continues for nine (9) months following the termination of the Agreement.
8. NON-SOLICITATION
The AA agrees not to solicit VF@RM’s clients or employees for any purpose other than for authorized VF@RM business during the term of this Agreement and for a period of twelve (12) months following termination.
9. TERMINATION
- Termination without Cause: Either party may terminate this Agreement at any time with twenty-four (24) hours’ written notice.
- Termination for Cause: VF@RM may immediately terminate this Agreement for cause, including but not limited to the AA’s failure to perform duties, breach of confidentiality, or violation of any term of this Agreement.
10. COMMISSION AND COMPENSATION
- Payment of Commissions: The AA shall be compensated based on agreed-upon commission rates as outlined in Exhibit B (attached). Commissions will be payable upon the successful completion of sales contracts and full receipt of payment by VF@RM.
- No Advances: VF@RM shall not provide advances on commissions under any circumstances.
11. RIGHT OF SET-OFF
VF@RM reserves the right to offset any commission payments due to the AA against any amounts the AA owes to VF@RM under this Agreement.
12. INDEMNIFICATION
The AA agrees to indemnify and hold VF@RM harmless from any claims, damages, liabilities, or costs arising from the AA’s actions, omissions, or breaches of this Agreement.
13. ASSIGNMENT
The AA shall not assign or transfer any of their rights or obligations under this Agreement without the prior written consent of VF@RM.
14. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings of any kind. Any changes or amendments to this Agreement must be made in writing and signed by both parties.

Roles & Responsibilities:-
Tier 1 – Consultant
Duties:
- Sales and Customer Acquisition:
- Actively engage in lead generation, product presentations, and follow-up.
- Identify customer needs and recommend suitable VF@RM products.
- Product Knowledge:
- Stay updated on VF@RM’s product offerings, features, and benefits.
- Participate in regular training and knowledge-sharing sessions.
- Marketing and Promotion:
- Promote VF@RM products through social media, events, and community outreach.
- Use VF@RM-approved marketing materials to maintain brand consistency.
- Networking:
- Build and maintain a network of potential customers and partners.
- Attend VF@RM-sponsored events and trainings.
Services:
- After-Sales Service:
- Provide post-purchase support, ensuring customer satisfaction.
- Address and resolve any customer concerns or questions.
- Setup and Installation:
- Offer guidance on setup and installation, either personally or by coordinating with support teams.
- Ensure customers understand the basic maintenance of their VGROW systems.
Tier 2 – Agency Manager
Duties:
- Team Leadership:
- Recruit, train, and mentor Consultants, helping them meet their sales goals.
- Conduct regular team meetings to discuss targets, strategies, and performance.
- Sales Strategy and Management:
- Develop and implement sales strategies for the team.
- Monitor team sales performance, providing guidance and support as needed.
- Performance Evaluation:
- Evaluate team performance regularly, recognizing achievements, and providing constructive feedback.
- Track KPIs and maintain accurate records for each team member.
- Customer Relationship Management:
- Ensure high customer retention and satisfaction through quality service.
- Maintain relationships with key customers and stakeholders.
Services:
- After-Sales Service:
- Oversee team’s customer service efforts, ensuring quality and consistency.
- Provide personal support to high-value customers and resolve escalated issues.
- Setup and Installation:
- Train Consultants on setup and installation processes.
- Coordinate with VF@RM support teams to ensure efficient installations for customers as required.
Tier 3 – Group Agency Manager (GAM)
Duties:
- Organizational Leadership:
- Lead multiple teams, setting sales goals and strategic direction.
- Develop leadership within the organization by promoting and mentoring Agency Managers.
- Market Expansion:
- Identify opportunities for market expansion and growth.
- Build strategic relationships with corporate clients, institutions, and potential partners.
- Sales Forecasting and Reporting:
- Track and analyze sales data, providing reports to VF@RM on performance, trends, and forecasts.
- Use analytics to drive decision-making and adjust strategies accordingly.
- Brand Ambassador:
- Represent VF@RM in industry events, trade shows, and community initiatives.
- Build VF@RM’s reputation through thought leadership and networking.
Services:
- After-Sales Service:
- Oversee and implement company-wide customer service standards.
- Manage escalations and ensure customer satisfaction at every touchpoint.
- Setup and Installation:
- Establish processes for streamlined installation, ensuring all customers receive consistent service.
- Collaborate with technical teams to provide efficient setup and installation training for team members.
General Duties and Services Across All Tiers
- Customer Education: Educate customers on product use, maintenance, and updates.
- Product Feedback: Collect and relay customer feedback to VF@RM for product improvement.
- Compliance and Ethics: Ensure compliance with VF@RM’s code of conduct and ethical standards.
- Data Management: Maintain accurate records of customer interactions, purchases, and service history in the CRM system.
EXHIBITION B:
COMMISSION SCHEDULE FOR THE MONTH
COMM Structure – (kindly refer to management for commission structures)
Payout date Payment received between 1st to 31st of the month, all commissions shall be made payable by VF@RM in the next 30 business days*
CONTRACT MAINTENANCE: All Authorised Agent is required to achieve min sales target of RM5,000 /month in order to maintain this contract.
* The above schedule sets out the remuneration structure applicable to selected products and services and shall be paid only upon successful completion and receipt of monies for the products and services sold. Should there be any dispute between the AA and clients on refunds before order is processed, commissions shall be withheld until completion of settlement of any issues. There shall be No refund after order is processed.
VF@RM reserves the rights to change, modify or cancel the commission and remuneration structure at its sole discretion.
Commissions, Bonuses, Promotion & Contract Maintenance – Terms and Conditions
Eligibility Requirements
- Age Requirement: Must be at least 18 years old.
- Residency: Must be a resident or have legal permission to work within the regions VF@RM operates.
- Background Check: Consent to a basic background check if required by VF@RM.
- Commitment to Ethics: AA must adhere to VF@RM’s Code of Conduct, maintaining professionalism, honesty, and integrity in all business dealings.
- No Conflict of Interest: AA should not be engaged in any competing business activities while part of VF@RM.
Onboarding Process
- Registration: Complete the online application form and agree to the terms and conditions.
- Initial Training: Attend a mandatory onboarding and product training session within 30 days of joining.
- Registration Fees: RM288 Registration fee will be collected.
Promotion Criteria and Benefits
Each tier within VF@RM’s AA Pathway has unique criteria for promotion and maintenance, designed to encourage consistent growth and commitment:
Tier 1 – Consultant
- Title: Consultant – Your Starting Point
- Revenue & Milestones:
- Personal Sales Target: RM5,000 per month
- Benefits & Rewards:
- Base Commission: 12% on personal sales
- Bonuses:
- RM250 for exceeding RM7,500/month
- RM500 for exceeding RM10,000/month
- Early Access to Advance Training: Consultants achieving RM10,000 within three months gain access to advanced training.
- Promotion Criteria:
- Maintain personal sales of RM5,000/month for 6 consecutive months.
- Recruit 3 new consultants, each achieving RM5,000/month for 3 months.
- Key Performance Indicators (KPIs):
- Customer Retention Rate: 70%
- Customer Satisfaction Rate: 85%
- Net Promoter Score (NPS): 7+
- Repeat Sales Rate: 20%
- Maintenance Criteria:
- Meet personal sales of RM5,000/month.
- Maintain a Customer Satisfaction Rate of 80% or higher.
Tier 2 – Agency Manager
- Title: Agency Manager – Building Your Team
- Revenue & Milestones:
- Team Sales Target: RM30,000 per month
- Benefits & Rewards:
- Base Commission: 15% on personal sales
- Overrides: 4% on team sales
- Performance Bonuses:
- RM1,000 for team sales of RM40,000/month
- RM1,500 for team sales of RM50,000/month

Tier 3 – Group Agency Manager (GAM)
- Title: Group Agency Manager – Leading the Vision
- Revenue & Milestones:
- Group Sales Target: RM150,000 per month
- Benefits & Rewards:
- Base Commission: 15% on personal sales
- Overrides: 4% on Agency Managers’ team sales and 2% on downline sales
- Performance Bonuses:
- RM3,000 for group sales of RM200,000/month
- RM4,000 for group sales of RM250,000/month
- RM5,000 for group sales of RM300,000/month
- Additional Incentives*:
- Quarterly profit sharing

- Maintain RM150,000 in group sales for 12 months.
- Promote 2 Agency Managers.

- Personal Sales Target: RM20,000/month

- Repeat Sales Rate: 40%
- Maintenance Criteria:
- Meet group sales of RM150,000/month.
- Maintain a Customer Satisfaction Rate of 90% or higher.
Additional Terms for All Tiers
- Contract Renewal: AA must meet maintenance criteria on a quarterly basis for contract renewal and eligibility for benefits.
- Code of Conduct: AA are required to act ethically and professionally. Failure to do so may result in termination of the contract.
- Non-Compete Agreement: AA agree not to promote competing products while associated with VF@RM.
- After-Sales Service: All AA are responsible for providing after-sales service, including follow-up, setup, and installation (if requested).
- Performance Reviews: Regular performance reviews will be conducted to evaluate sales performance, customer satisfaction, and goal achievement.
